Terms of Service

Welcome to GradRecorder. These Terms of Service ("Terms") govern your use of the GradRecorder web application and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. The Service
GradRecorder is a web-based application that enables schools, colleges, and universities (each a "School") to collect voice recordings of graduates' names by telephone and play those recordings through a web interface to an announcer during a commencement ceremony. The Service is provided on a subscription basis to Schools under a separate order or agreement.
2. Your account
- An authorized School administrator may invite additional users and assign roles.
- Each user is responsible for maintaining the confidentiality of their sign-in credentials.
- You agree to provide accurate account information and to keep it up to date.
- You are responsible for any activity that occurs under your account.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any third party's rights.
- Upload content that is defamatory, obscene, or infringes the intellectual property or privacy rights of any person.
- Attempt to access, probe, or disrupt the Service's security controls or infrastructure.
- Reverse-engineer, decompile, or create derivative works based on the Service, except as permitted by applicable law.
- Resell, sublicense, or white-label the Service to third parties without our written consent.
- Use the Service to send unsolicited bulk communications ("spam").
- Upload data related to any person who has not been properly informed and, where required by law, has not consented to the collection and use of that data.
4. School content and responsibilities
Graduate rosters, voice recordings, and all other information uploaded or created through the Service by a School or its authorized users (collectively, "School Content") remain the property of the School. You grant GradRecorder a limited, non-exclusive license to host, store, transmit, and process School Content solely for the purpose of providing the Service.
The School is solely responsible for:
- The accuracy and lawfulness of all School Content.
- Obtaining any consents required under FERPA, COPPA, or other applicable law before uploading student information.
- Notifying students, families, and employees about the School's use of the Service as required by the School's privacy notices.
5. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
6. Fees, billing, and renewal
Subscription fees, term length, and billing details are set out in the order, proposal, or invoice provided to your School. Unless expressly stated otherwise, fees are billed annually in advance and are non-refundable. Subscriptions automatically renew for additional terms unless either party provides written notice of non-renewal at least 30 days before the end of the then-current term.
7. Third-party services
The Service relies on third-party providers including Twilio (for telephony and recording storage), Mailgun or another SMTP provider (for email), Google (for optional sign-in and reCAPTCHA), and a web hosting provider. Your use of the Service through these integrations is also subject to the respective providers' terms. GradRecorder is not responsible for third-party outages or content.
8. Intellectual property
The Service, including its software, user interface, logos, and documentation (but excluding School Content), is the property of GradRecorder and its licensors and is protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term. No rights are granted except those expressly stated in these Terms.
9. Feedback
If you provide suggestions, comments, or feedback about the Service, you grant GradRecorder a perpetual, royalty-free right to use that feedback for any purpose, without attribution or compensation. You will not be entitled to any compensation on account of our use of your feedback.
10. Termination
- Either party may terminate a School's subscription at the end of the then-current term as described in Section 6.
- We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms or pose a security risk to the Service or its users.
- Upon termination, your access to the Service will cease, and we will delete School Content as described in the Privacy Policy.
- Sections intended to survive termination (including 4, 8, 11, 12, and 13) will survive.
11. Disclaimer of warranties
The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of harmful components, or that recordings will be retained indefinitely. Your sole remedy for dissatisfaction with the service is to stop using it.
12. Limitation of liability
To the maximum extent permitted by law, in no event will GradRecorder, its affiliates, or its suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms or your use of the Service, even if advised of the possibility of such damages. Our total cumulative liability arising out of or related to these Terms will not exceed the fees paid by your School to GradRecorder during the 12 months immediately preceding the event giving rise to the liability.
13. Indemnification
You agree to defend, indemnify, and hold harmless GradRecorder, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your use of the Service, (b) your School Content, or (c) your violation of these Terms or of any law or third-party right.
14. Governing law and dispute resolution
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the jurisdiction of those courts.
15. Changes to these Terms
We may modify these Terms from time to time. If we make material changes, we will notify Schools by email or by posting a notice in the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
16. Miscellaneous
- These Terms, together with the Privacy Policy and any order form, constitute the entire agreement between you and GradRecorder regarding the Service.
- If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full effect.
- Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.
- You may not assign these Terms without our prior written consent; we may assign them freely.

Plain-English summary (non-binding). Use the service to record graduate names, pay your subscription, don't abuse it. Your data stays yours. We try hard to keep the service up, but like any web app it can have outages, so we can't promise perfection. If things go wrong our liability is capped at roughly one year of your subscription fees.
